Chefomi — Disclaimer & Terms of Use

1. Nature of the Platform

Chefomi ("we", "us", "our", "the Platform") is an online marketplace that provides technology infrastructure to connect independent home cooks ("Cooks") with individuals who wish to purchase home-cooked food ("Customers"). The Platform is a neutral intermediary only. We are not a food business, restaurant, caterer, food manufacturer, food retailer, or food broker. We do not at any time take possession of, handle, prepare, inspect, package, or deliver any food items listed on this Platform.

Cooks operate entirely as independent individuals. They are not employees, agents, contractors, partners, or representatives of Chefomi in any capacity whatsoever. Nothing in these Terms shall be construed to create any employment, agency, partnership, joint venture, or franchise relationship between the Platform and any user.

2. No Responsibility for Food Safety, Quality, or Hygiene

Chefomi does not inspect, monitor, audit, certify, regulate, or take any responsibility for:

• The safety, quality, freshness, hygiene, or fitness for consumption of any food listed or sold on the Platform
• The sanitary conditions under which any food is prepared, stored, packaged, or transported
• The personal hygiene, qualifications, certifications, or training of any Cook
• Whether any Cook holds any required food safety certification, licence, or permit
• Whether any food meets applicable food safety standards, regulations, or labelling requirements
• The accuracy of any ingredient list, allergen declaration, nutritional information, or description provided by a Cook

CONSUMPTION OF FOOD PURCHASED THROUGH THIS PLATFORM IS ENTIRELY AT YOUR OWN RISK. Chefomi shall bear absolutely no liability for any illness, injury, allergic reaction, death, or other harm resulting from the preparation, handling, transportation, or consumption of any food obtained through this Platform.

3. Allergen Disclaimer

Allergen information displayed on this Platform is provided solely by the Cook and has not been verified by Chefomi. Cooks operate in home kitchen environments that may contain numerous allergens and where cross-contamination is possible. If you have any food allergy, intolerance, or medical dietary requirement, you must contact the Cook directly before placing an order and satisfy yourself as to the suitability of the food. Chefomi accepts no responsibility for any allergic reaction, intolerance reaction, or adverse health event linked to allergen information provided on this Platform.

4. No Responsibility for Payments

Chefomi does not process, facilitate, hold, transfer, guarantee, or take any responsibility for any payment made between Cooks and Customers. All payments are made directly between parties using independent third-party payment services (including but not limited to Zelle, Venmo, or any other method agreed between the parties).

Chefomi:

• Is not a party to any payment transaction between Cooks and Customers
• Does not guarantee, verify, or validate the receipt of any payment
• Does not provide escrow, payment protection, buyer protection, or seller protection of any kind
• Is not responsible for any failed, disputed, fraudulent, unauthorised, or incomplete payment
• Will not mediate, arbitrate, or resolve any payment dispute
• Will not issue refunds on behalf of any Cook or Customer

All payment disputes must be resolved directly between the Cook and Customer, and where necessary through the terms and dispute resolution processes of the applicable third-party payment service. Chefomi shall bear no liability whatsoever in respect of any payment dispute.

5. No Verification of Cooks or Customers

Chefomi does not conduct background checks, identity verification, criminal record checks, food safety qualification checks, address verification, or any other verification of the accuracy or truthfulness of information provided by any user. The presence of a user or listing on this Platform does not constitute an endorsement, recommendation, or guarantee of any kind by Chefomi.

Users are solely responsible for satisfying themselves as to the identity, trustworthiness, suitability, and legitimacy of any other user they choose to transact with.

6. Compliance with Local Laws

The preparation and sale of food from private homes may be regulated by local, regional, or national laws, regulations, licences, permits, or food business registrations (including but not limited to food hygiene regulations, home food business legislation, and local authority requirements).

Each Cook is solely and entirely responsible for ensuring that their activities comply with all applicable laws and regulations in their jurisdiction. Chefomi makes no representation that use of this Platform is lawful in any particular jurisdiction and accepts no liability for any regulatory breach by any user.

Customers are responsible for satisfying themselves that any food purchase is lawful in their jurisdiction.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Chefomi, its owners, directors, employees, agents, affiliates, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages of any kind arising from or related to your use of this Platform or any transaction conducted through it, including but not limited to food-related illness or injury, payment disputes, loss of money, property damage, personal injury, or death
• In no event shall the total aggregate liability of Chefomi to any user exceed the amount of zero ($0), as the Platform provides its matching services free of charge and takes no commission or fee from any transaction
• This Platform is provided on an "as is" and "as available" basis without any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement

8. Indemnification

You agree to indemnify, defend, and hold harmless Chefomi and its owners, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) any food you prepare, sell, purchase, or consume through the Platform; (c) any payment dispute arising from a transaction on the Platform; (d) your violation of these Terms; (e) your violation of any applicable law or regulation; or (f) any injury or harm caused to a third party as a result of your actions on the Platform.

9. User Conduct & Content

Users must not use this Platform to post false, misleading, or deceptive content; to harass, threaten, or abuse other users; to post obscene, offensive, or discriminatory content; to engage in any fraudulent activity; or for any unlawful purpose. Chefomi reserves the right, but has no obligation, to monitor, moderate, or remove any content at any time and for any reason. We may suspend or permanently ban any user who violates these Terms without prior notice and without liability.

10. Messaging & Language

All messages and reviews submitted on this Platform are subject to automated and manual moderation. Users must communicate respectfully. Abusive, threatening, harassing, or grossly offensive language is prohibited and may result in immediate account suspension. Chefomi reserves the right to review, filter, or remove any message or review content.

11. Reviews & Ratings

Reviews and ratings are opinions of individual users and do not reflect the views of Chefomi. We do not verify the accuracy or fairness of any review. We accept no liability for any reputational harm arising from user-generated reviews. We reserve the right to remove reviews that violate our content standards.

12. Age Requirement

You must be at least 18 years of age to create an account or use this Platform. By registering, you confirm that you are 18 or over. Chefomi accepts no liability for use of the Platform by minors.

13. Disputes Between Users

Any dispute, claim, or controversy arising between a Cook and a Customer (including but not limited to disputes about food quality, payment, delivery, or conduct) is solely a matter between those parties. Chefomi has no obligation to mediate or resolve any such dispute and accepts no liability in connection with any such dispute.

14. Privacy

By using this Platform, you consent to the collection and use of your personal information as necessary to operate the service (including name, email, phone number, and address). We do not sell your personal information to third parties. Address information is used to facilitate the service and is shared with the other party to a transaction only to the extent necessary to complete that transaction. 15. Changes to These Terms

Chefomi reserves the right to modify these Terms at any time. Continued use of the Platform following notification of changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States of America, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and Chefomi with respect to your use of the Platform and supersede all prior agreements and understandings.
